The process typically involves several phases, including the following:

  • Formulating the strategic buyer’s target criteria (i.e. geography, customer mix, direct vs. indirect mix, profitability)
  • Identifying the most relevant company targets based on the devised criteria
  • Approach acquisition targets confidentially, while providing unbiased advice on the value and merits of each acquisition targets
  • Create short list of candidates based on initial diligence and probability to successfully close a deal
  • Spearhead detailed due diligence process including management team strength, technology, financials, customer and market dynamics
  • Negotiate deal structure and terms on behalf of acquirers
  • Put in place a well thought and detailed Post Merger Integration (PMI) plan

Sell Side M&A

A fundamental requisite to this process is to gain a thorough understanding of a client’s business, and ensuring that before a transaction, clients are well informed about valuation, potential interested parties, and the key stages in a transaction process.

This way, we are able to leverage our experience in generating a competitive process to maximize the process outcome and chance of success.

The process typically involves several phases, including the following:

  • Reviewing the Company’s business and strategic plans, budgets, financial results and expectations.
  • Researching public information with respect to the market, including recent relevant transactions
  • Preparing a high-quality memorandum that accurately describes the business, its performance, and compelling investment merits.
  • Generating a comprehensive database of potential acquirers, or investors including strategic and financial buyers, screened to fit the criteria of the seller.
  • Working with the Company to create a confidential competitive process designed to generate a range of favorable offers for the client to consider.
  • Coordinating due diligence reviews.
  • Assisting in developing and executing the form and structure of the Transaction.
  • Executing on the transaction.
